ARK ECOSYSTEMS
This Master Service Agreement ("Agreement") is entered into between:
OneBook LLC, a California limited liability company, operating under the name Ark Ecosystems ("Ark") and The Subscriber ("Subscriber").
By subscribing to Ark's services, Subscriber agrees to the following terms.
1. Service Overview
Ark provides a subscription-based financial clarity infrastructure designed to transform financial statements into organized financial outputs, including but not limited to:
Ledger structuring
Profit & Loss summaries
Balance Sheet summaries
Financial clarity reports
AI-assisted insights
Ark operates as a document-based financial organization system. All outputs are provided for informational and management purposes only. Ark does not provide accounting, tax, legal, or financial advisory services.
2. System Access
Ark operates as a structured system, not a discretionary service. Access to the system is granted upon:
Successful subscription
Compliance with the requirements outlined in this Agreement
Access may require application and approval at Ark's discretion.
3. Entity-Based Subscription & Annual Structure
Each subscription applies to one legal entity or individual.
The entity name must correspond to the financial statements submitted.
Ark operates on a calendar-year financial structure (January 1 – December 31) to ensure complete and accurate financial records.
Pricing is $1 per day per entity ($365 per year, prepaid).
Each subscription includes processing for up to:
4 bank accounts
5 credit card accounts
Separate entities require separate subscriptions.
Annual Financial Structure Requirement
Ark is designed to reconstruct and maintain a complete financial timeline based on submitted statements. Accordingly:
If Subscriber requires financial outputs for a specific year (e.g., tax preparation), the full calendar year must be processed.
The full annual fee applies, as Ark reconstructs the complete financial year from submitted statements.
Partial-month or partial-year processing is not supported, as it would compromise data accuracy and reconciliation integrity.
Ark reserves the right to introduce additional pricing tiers or service levels if account volume, document volume, or processing complexity materially exceeds the intended scope.
4. Statement-Only Processing
Ark operates under a statement-only processing model.
The core Ark subscription processes financial data derived solely from bank account and credit card statements submitted by the Subscriber.
Ark does not process financial data derived from accounting software exports, transaction logs, or platform-generated reports unless explicitly stated as part of a separate service scope.
Ark does not:
access financial accounts
connect to financial institutions
integrate with third-party platforms
require login credentials
initiate financial transactions
Platform-generated reports (including PayPal, Stripe, Shopify, Amazon, ADP, crypto platforms, or similar systems) are not included within the core $1/day processing scope unless otherwise stated.
5. Subscriber Responsibilities
Subscriber agrees to:
provide accurate and complete financial statements
ensure entity name consistency across submissions
maintain lawful ownership or authorization over submitted documents
use Ark outputs responsibly
Subscriber is responsible for ensuring that submitted documents lawfully belong to them or their authorized entity.
6. Client-Provided Documents
Ark relies on subscriber-provided documents and does not independently verify:
ownership of bank accounts
ownership of credit cards
authenticity of submitted statements
accuracy of financial institutions referenced
Subscriber represents and warrants that:
submitted documents are authentic or lawfully obtained
Subscriber is authorized to submit them for processing
Ark shall not be liable for misuse, fraud, or unauthorized submission of documents provided by Subscriber.
7. Statement Submission Responsibility
Ark processes only documents actually submitted by the Subscriber. Ark has no obligation to:
request missing statements
retrieve historical statements
verify reporting completeness
If statements are not submitted:
financial outputs may be incomplete
Ark bears no responsibility for missing or delayed data
Subscriber remains responsible for ensuring that all relevant statements are submitted.
8. Subscription Continuity & Data Integrity
Ark operates as a continuous, structured financial system.
Because Ark relies on complete financial timelines:
Gaps in subscription periods may result in incomplete or inconsistent financial records.
Continuous subscription ensures accurate multi-period reconciliation.
If a subscription is paused, canceled, or unpaid:
Processing and access may be suspended.
Financial continuity may be disrupted.
To restore service:
All missed periods must be completed and paid.
Ark may require catch-up processing to restore continuity and data integrity.
Ark reserves the right to determine the scope of required catch-up work.
9. Fair Use and System Integrity
Ark operates with defined system limits to ensure fair access for all subscribers. Ark reserves the right to suspend, limit, or adjust services if usage materially exceeds normal system scope, including:
excessive account volume
unusually large document submissions
system misuse or abuse
10. Service Standards & Operational Terms
Service Structure & Standardization
Ark Ecosystems provides standardized financial organization and reporting services. All services are delivered using a fixed system, structure, and methodology.
Client acknowledges that services are not customized and are provided uniformly to all subscribers. Requests for custom workflows, formats, or deviations are not supported.
In the event of any conflict between user expectations and Ark's defined system, the Ark system structure shall prevail.
Data Input Requirements
Client agrees to provide only complete and accurate financial statements in PDF format, including but not limited to bank and credit card statements.
Ark does not accept logins, system integrations, CSV files, or third-party exports.
Any data submitted outside of the defined format may be rejected or excluded from processing.
Processing Timeline
All services are delivered within standard processing timelines as defined by Ark.
Expedited, urgent, or same-day requests are not supported.
Client acknowledges that Ark operates on a structured workflow and not on-demand service.
Payment Terms
All services are prepaid.
Ark will not commence work until full payment has been received.
Fees are non-refundable once processing has begun.
Communication Policy
Ark operates through structured communication channels only.
Real-time support, including calls, meetings, or ad hoc consultations, is not included.
Clients are directed to official documentation, FAQs, and published materials for guidance.
Ark is not obligated to provide individualized explanations, training, or repeated guidance beyond published materials.
Scope of Services (No Advisory)
Ark provides financial organization and reporting services only.
Ark does not provide tax, legal, or financial advisory services.
Clients are responsible for consulting licensed professionals for advice and decision-making.
Right to Refuse or Terminate
Ark reserves the right to refuse or terminate service at its discretion, including but not limited to:
Non-compliance with submission standards
Repeated requests outside of scope
Disruptive or high-maintenance behavior
Limitation of Responsibility
Ark relies on client-provided data and does not guarantee completeness or accuracy beyond the submitted information.
Client is responsible for reviewing all outputs before use in tax filings or financial decisions.
11. Lawful Use
Subscriber agrees to use Ark services only for lawful purposes. Ark services may not be used in connection with:
fraud
money laundering
financial crimes
submission of stolen or unauthorized financial documents
any activity that violates applicable laws or regulations
Ark reserves the right to suspend or terminate service immediately if unlawful activity is suspected.
12. Payments & Billing Structure
Subscription fees are billed according to the Ark pricing model:

Ark Ecosystems is provided "as-is" and "as available." Ark makes no warranties, express or implied, including warranties of:
merchantability

uninterrupted service
Use of the Ark system is at the Subscriber's own discretion and risk.
17. AI-Assisted Insights
Certain Ark outputs may include AI-assisted insights or automated analysis. These insights are intended solely as informational assistance and may contain errors, approximations, or incomplete interpretations. AI-generated insights should not be relied upon as financial, tax, legal, or investment advice. Subscribers remain responsible for reviewing all outputs and consulting qualified professionals where appropriate.
18. Limitation of Liability
To the maximum extent permitted by law, Ark shall not be liable for:
indirect damages
incidental damages
consequential damages
financial losses resulting from use of Ark outputs
Ark outputs are informational summaries only.
19. Indemnification
Subscriber agrees to indemnify and hold harmless Ark from any claims arising from:
misuse of Ark outputs
inaccurate or altered document submissions
fraudulent or unauthorized financial documents
violations of applicable laws
20. Force Majeure
Ark shall not be liable for delays or failure to perform resulting from events beyond reasonable control including:
natural disasters
cyber attacks
power outages
internet infrastructure failures
government actions
war or civil unrest
Service obligations may be temporarily suspended during such events.
21. Modifications
Ark may update this Agreement from time to time. Continued use of the system constitutes acceptance of updated terms. If Subscriber does not agree to updated terms, use of the system must be discontinued.
22. Governing Law and International Use
This Agreement shall be governed by the laws of the State of California. Ark services may be accessed by users globally, subject to the terms of this Agreement. However, all legal matters relating to this Agreement shall be interpreted under California law. Subscribers accessing the service from other jurisdictions do so at their own initiative and responsibility.
